Terms of service
Last updated: 26 October 2026
These terms are a contract between Jacob Ashby, a sole trader trading as Oppt, of 11 Chalcroft Road, Sandgate, CT20 3NG ("oppt", "we", "us"), and the business that signs up ("Customer", "you").
Contact: contact@oppt.ascendlabs.uk.
1. Business use only
oppt is for businesses and other organisations. By signing up, you confirm that you're acting for a business, trade or profession, not as a consumer. If you sign up on behalf of an organisation, you confirm that you're authorised to accept these terms for it.
2. The service
oppt collects public-sector tender information from public sources and provides tools to search it, get alerts, analyse it and prepare bids, including AI-generated scores, summaries and draft answers.
- We may change features over time. We won't significantly reduce the core service during a paid period without telling you.
- We aim for high availability but don't guarantee it. We may suspend the service for maintenance or security.
3. Accounts
- Keep your login details secure. You're responsible for activity under your account and your team's accounts.
- Each user needs their own login. Don't share logins.
- Give us accurate information and keep it up to date.
4. Free trial, fees and cancellation
- Free trial: new subscriptions start with a 14-day free trial. Unless you cancel before the trial ends, your subscription starts and you'll be charged £59.99 a month, plus £25 a month for each additional user (or the prices shown at sign-up). We're not VAT-registered, so no VAT is added.
- Renewal: subscriptions renew monthly until cancelled. Stripe takes payment; you authorise us to charge your payment method each month.
- Cancelling: cancel at any time in your account settings. Cancellation takes effect at the end of the current billing period, and fees already paid aren't refunded unless the law requires it.
- Price changes: we'll give at least 30 days' notice by email. You can cancel before the new price applies.
- Late payment: if a payment fails, we may suspend access until it's paid.
5. AI output and tender information: important limits
- Tender data: it comes from third-party public sources and may be incomplete, late or wrong. Always check the official notice and buyer documents before bidding, particularly deadlines and requirements.
- AI output: scores, AI win estimates, compliance checks, summaries and drafted answers are generated automatically and can be wrong or incomplete. They're decision support, not advice. You're responsible for reviewing everything you submit to a buyer and for your bid decisions.
- No guarantee: we don't guarantee that you'll win any contract.
6. Your content
- You own it. "Your content" is the documents, text and data you or your team upload or create in oppt, such as bid library documents, answers and profile information.
- What we may do with it: you give us permission to host, copy and process it only as needed to provide the service to you. This includes sending it to our AI sub-processors to produce output for you.
- We don't use it to train AI models, and we don't share it with other customers. The exception is features you choose to use, such as the Partner Directory or team library sharing.
- Your responsibilities: you must have the right to upload your content, including any personal data about your staff or others (for example CVs). You must have given those people any privacy information the law requires.
- Data protection: our Data Processing Agreement forms part of these terms and applies to personal data in your content.
- Output: you own the AI-generated output we produce for you, as far as the law allows.
7. Acceptable use
You must not:
- use oppt for anything unlawful, or to breach procurement rules (for example, collusive tendering);
- upload malware, or content you have no right to share;
- scrape, bulk-download or resell oppt data, or use it to build a competing product;
- try to get round rate limits, AI allowances or security controls, or access other customers' data;
- use contact details from public notices or the Partner Directory for unsolicited marketing in breach of PECR or the UK GDPR.
We may suspend accounts that break these rules.
8. Our intellectual property
We own the oppt platform, software, design and our compilation of tender data. You get a non-exclusive, non-transferable right to use them for your internal business purposes while you're subscribed.
9. Confidentiality and security
- Your content: we treat it as confidential and protect it with appropriate technical and organisational measures.
- Our information: you'll keep any non-public information about oppt confidential.
10. Liability
- What we don't exclude: nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
- Losses we're not liable for: we're not liable for loss of profits, revenue, contracts (including contracts not won), goodwill or anticipated savings, or for any indirect or consequential loss.
- Cap on our liability: our total liability in any 12-month period is limited to the fees you paid us in that period, or £100 if greater.
- Implied terms: we exclude all implied terms (for example, fitness for a particular purpose) to the extent the law allows.
11. Ending the contract
- You can end the contract by cancelling your subscription.
- We can end it:
- on 30 days' notice; or
- immediately if you materially breach these terms and don't fix the breach within 14 days of our notice.
- After it ends: we keep your content for 12 months in case you come back, unless you ask us to delete it sooner. During that time you can ask us for a copy. After that, we delete it as described in our Privacy Notice.
12. Changes to these terms
We may update these terms. We'll give at least 30 days' notice of material changes by email. If you keep using oppt after that, you accept the changes. If you don't agree, you can cancel before they take effect.
13. General
- Transfer: we may transfer this contract to a buyer of our business, or to a company we set up to run oppt. You may not transfer it without our consent.
- Events outside our control: we're not responsible for delays or failures caused by events beyond our reasonable control.
- Invalid terms: if a court finds part of these terms invalid, the rest still applies.
- Third parties: no one else has rights under these terms. The Contracts (Rights of Third Parties) Act 1999 doesn't apply.
- Law and courts: English law governs these terms, and the courts of England and Wales have exclusive jurisdiction.
